And we offer you the freedom to be a positive disrupter and turn big ideas into bold, industry-changing realities.For our business, for clients, and for youCorporate Secretarial ManagerLocation : SingaporeJob specificationHandle full spectrum of corporate secretarial work for various fund projects including 100 plus Singapore companies/Limited Partnerships/VCC/Branch Handle various queries from client Review various documents prepared by support team including resolutions, AGM, EGM, minutes, incorporation pack, striking off pack, etc. Prepare complicated resolution/documents for complicated transactions. Handle Shares Transfer and application of relevant Stamp Duty for Private companies and VCC with Inland Revenue Authority of Singapore (“IRAS”) Handle various share-related transactions for fund structures, ie, Shares Allotment, Preference Shares Redemption, Profit Distribution, etc. Handling Incorporation and striking off of Singapore entity Handle Corppass registration/authorisation To ensure completeness of transaction from preparation of documents to ACRA/IRAS filings. Ensure maintaining Statutory Records and Register (i.e. Register of Members, Directors, Charges, Registers of Registrable Controllers and Register of Nominee Directors, etc.) for clients’ entitiesAssist in KYC related tasks/on-boarding process/periodical reviewOrganize, attend the Board Meeting/IC Meeting, Members Meeting including preparation of Board Pack for the clients Be alert of ACRA new requirements and change of Singapore Companies Act and update the team accordingly Provide guidance to team members and train them to handle clients’ requests independently. Involve into billing process, internal reporting and Co Sec internal process/procedure implementation/enhancement. Other ad hoc assignments assigned from time to time. Skills Required:At least 7 to 10 years’ secretarial experience. Good knowledge of Singapore Companies Act, corporate governance and procedure of various secretarial transactions. Relevant qualifications are an advantage. Knowledge of fund structure is an advantage. Good communicator and high attention to detail.
