PE Hub reports R1 will acquire prior-authorization AI startup Humata.

Why it matters: The deal points to continued consolidation in healthcare revenue-cycle automation, where prior authorization remains a costly bottleneck. It also shows private-equity-backed R1 leaning further into AI-native tools instead of building everything in-house.

  • PE Hub reported Aug. 18, 2026, that TowerBrook- and CD&R-backed R1 will acquire Humata.
  • R1 launched R1 Prior Authorization on Jan. 15, 2026, to automate and streamline the process at scale.
  • R1 bought Phare Health in October 2025, adding another AI-native automation asset.
  • Humata said in June 2026 that more than 42,000 physicians at 225 hospitals used its prior-authorization technology.

PE Hub reported that R1, the healthcare revenue management company backed by TowerBrook Capital Partners and Clayton, Dubilier & Rice, will acquire Humata, an AI startup focused on prior authorization.

The reported deal fits R1's broader push into automation. The company says it is the leader in healthcare revenue management and launched R1 Prior Authorization in January to automate and streamline prior authorization at scale.

R1 has also said its Phare platform and related AI investments are aimed at moving healthcare closer to real-time adjudication and automating revenue-cycle workflows, including prior authorization. It acquired Phare Health in October 2025.

Humata said in June 2026 that more than 42,000 physicians at 225 hospitals relied on its technology, and that it had closed a $25 million investment in June 2024. The company also said it joined CMS's Electronic Prior Authorization Acceleration initiative as a Friend of the Ecosystem.

R1 was taken private in August 2024 in an $8.9 billion all-cash deal by TowerBrook and CD&R. The reported Humata acquisition suggests the company is still expanding its AI stack through M&A.
